Michel Gianfermi

Throughout a great part of his career Michel Gianfermi has held senior positions within large multinational companies such as AMERICAN STANDARD, SCHLUMBERGER and OCE.

His different functions included CFO, General Manager and CEO of those companies. Alongside he was Board Member and tax & financial advisor in several companies, activities that he still deals with.

During his career Michel Gianfermi took on responsibilities both at national and international levels, in various sectors such as mechanics, nuclear power, measurement systems, information technology, service, tax and financial consulting.

Then, he decides in 2005 to join the Consulting Company ESSERE ASSOCIES as partner. ESSERE ASSOCIES has become a leader in the field of corporate governance and compensation package of executives.

Michel Gianfermi has gathered a strong international expertise in the following areas :

  • Corporate governance, functioning of Boards of Directors, Remuneration and Audit Committees : organization and running of Committees, remuneration policy for board members and executive officers, orientation and implementation of the policy of audit and compensation of the executives ...;
  • Remuneration of performance : implementation of compensation packages intimately linked with results and business strategy, determination of short term and long term performance leverages, leading and control of the progression of results to objectives (variable remuneration : bonus systems, share plan under different forms, stock options, restrictive shares, warrants, ghosts shares...) ;
  • Financial, tax and legal issues : tax optimization in France and at international level, split salary, employee deferred benefits (pension funds, severance payments…) ;
  • Mergers, acquisitions and divestments : organization of data room, conducting due diligence, financial evaluation of management teams, negotiation, target compensation.

Through his experience of general management and finance, Michel Gianfermi has acquired a recognized expertise in the field of governance and executive compensation at an international level.
